THE SOCIETY OF PROFESSIONAL SCIENTISTS AND ENGINEERS
CONSTITUTION

ARTICLE I: Name and Definition

     The name of the organization is Society of Professional Scientists and Engineers (hereinafter referred to as SPSE). It is a nonprofit association of individual Lawrence Livermore National Laboratory employees and others.

 

ARTICLE II: Purpose

     The specific and primary purpose of the organization is to operate a labor organization within the meaning of Section 23701a of the California Revenue and Taxation Code.

     The organization does not contemplate pecuniary gain or profit to its members and is organized for nonprofit purposes.

     Further, within the above context, the purpose of SPSE is to bring together people working as professional scientists and engineers to

  1. educate and inform employed and retired laboratory employees in matters of laboratory policies and procedures;
  2. improve the working environment and stimulate professional careers;
  3. promote the welfare of employed and retired laboratory employees;
  4. encourage the improvement of benefits, compensation, working conditions, and retirement status of employed and retired laboratory employees;
  5. cooperate with other organizations having compatible purposes;
  6. engage in all lawful activities in pursuance of these stated objectives.

ARTICLE III: Office

     The principal office of SPSE shall be located in the city of Livermore, California.

 

ARTICLE IV: Membership

Section 1. Classes of Membership
     SPSE has two classes of membership: Active and Associate.

Section 2. Active Membership
     Active membership is limited to those persons who are professional scientists, engineers, and those doing equivalent professional work, including those on authorized leave, who are employed by Lawrence Livermore National Laboratory.

Section 3. Associate Membership
     Associate membership is open to those who were members while employed and subsequently become annuitants of a laboratory retirement system, and others as provided in the Bylaws.

 

ARTICLE V: Organization and Authority

Section 1. Governing Council
     The Governing Council shall consist of the Executive Board.

Section 2. Executive Board

  1. The Executive Board of SPSE are the four officers: president, president-elect, secretary, treasurer and ten (10) members elected from the membership at large. The president-elect, secretary, treasurer and five (5) board members are elected annually by the general membership.
  2. The president-elect becomes the president upon completion of the president's term.
  3. Nominations and elections shall be as provided in the Bylaws.

ARTICLE VI: Administration

     The administration of SPSE is vested in the Executive Board thereof.

 

ARTICLE VII: Annual Audit

     An audit committee shall be appointed annually to cause an audit of the financial records to be made and reported to the Governing Council.

 

ARTICLE VIII: Limitations

Section 1. Expenditure of Funds
     The Executive Board shall not expend or commit expenditures by SPSE in excess of those funds currently available.

 

ARTICLE IX: Amendments

     Amendments to this constitution may be proposed by the Executive Board subject to ratification by a majority vote of those active members voting by mail ballot.
